Terms and Conditions

These Terms govern the use of the ALYASI Platform and the services offered through it. Accessing or using the Platform, or requesting a service, constitutes acceptance of these Terms, the Privacy Policy, and any additional terms applicable to a specific service.
Legal notice: These texts are provided as a general legal framework for the ALYASI platform and do not constitute legal advice. They should be reviewed by a lawyer licensed in the Sultanate of Oman before final adoption, particularly before enabling online payments, subscriptions, or processing sensitive personal data.
1. Definitions
ALYASI or Platform means the website and related digital services. User means any visitor or account holder. Client means a person or entity requesting a service or project. Content includes text, images, files, code, recordings, and posts. Services include design, development, consulting, news, community, automation, AI, voice, video, APIs, and any services announced by the Platform.
2. Acceptance
By using the Platform, the User confirms that they have read, understood, and accepted these Terms. A User who does not agree must stop using the Platform. Use on behalf of an entity constitutes confirmation that the User has legal authority to bind that entity.
3. Eligibility
Users must have the legal capacity required to use the Platform or must use it under the supervision of a lawful guardian or representative. Persons prohibited by law from receiving the Services may not use the Platform.
4. Lawful Use
The Platform may only be used for lawful purposes. Unauthorized vulnerability testing, intrusion, disruption, malware distribution, impersonation, circumvention of restrictions, unauthorized automated collection, fraud, abuse, or violation of law or third-party rights is prohibited.
5. Accounts
Users are responsible for accurate account information, password confidentiality, and all activities performed through their accounts. Suspected unauthorized access must be reported promptly. ALYASI may suspend unverified, inactive, risky, or non-compliant accounts as permitted by law.
6. Service Descriptions
Website descriptions are general information and do not create a binding obligation to perform a project. A project becomes binding only when a quotation, contract, or work order defining scope, fees, duration, deliverables, and obligations is accepted.
7. Quotations and Contracts
Quotations are valid for the period stated in them. Work outside the agreed scope may require additional time and fees. If these Terms conflict with a signed project agreement, the project agreement prevails in relation to that conflict.
8. Client Obligations
Clients must provide timely information, materials, approvals, and feedback; ensure submitted materials are lawful and properly licensed; and review deliverables within the agreed period. ALYASI is not responsible for delays caused by missing information, delayed approvals, or changed requirements.
9. Timelines and Delivery
Estimated timelines begin after receipt of requirements, payment, and required approvals. They may change due to client revisions, third-party failures, or events beyond reasonable control. Electronic delivery to an agreed contact channel, repository, or server is valid delivery.
10. Acceptance and Review
Clients must inspect deliverables within the agreed review period and report material scope-related defects. Failure to respond or actual use of deliverables constitutes acceptance unless otherwise agreed.
11. Fees and Taxes
Any published prices are indicative and may change before contracting. Applicable taxes and statutory fees may be added. Third-party services, licenses, hosting, and domain fees are excluded unless expressly included in the quotation.
12. Payment
Payments are due as specified in the quotation or contract. Work or delivery may be suspended for late payment. Clients bear transfer or payment-gateway fees unless otherwise agreed. Rights that are conditional upon payment transfer only after full payment.
13. Cancellation and Refunds
Cancellation and refund requests depend on the project agreement, the nature of the service, progress completed, and costs incurred. Payments for completed work, consumed hours, customized purchases or licenses, or digital services already commenced are non-refundable unless the agreement or applicable law requires otherwise.
14. Revisions and Support
The Service includes only the number of revisions or support period stated in the quotation. Free support does not include new features, scope changes, third-party failures, or changes made to code or servers by unauthorized persons.
15. Platform Intellectual Property
ALYASI trademarks, logos, general designs, original content, frameworks, tools, templates, libraries, pre-existing code, and methods remain owned by or licensed to ALYASI and may not be copied, resold, reverse engineered, or used beyond the granted license.
16. Custom Project Rights
Ownership of project deliverables is determined by the applicable quotation or contract. Unless otherwise stated, after full payment the Client receives the right to use final deliverables for the agreed purpose, while ALYASI retains rights in general tools, pre-existing components, open-source software, know-how, and reusable non-confidential elements.
17. Portfolio Use
ALYASI may display a project name, screenshots, or a general description in its portfolio for professional purposes unless the Client requests confidentiality in writing or the contract provides otherwise, and provided that unnecessary confidential or personal information is not disclosed.
18. Third-Party Licenses
Projects may use fonts, images, plugins, libraries, or services governed by separate licenses. Clients must comply with those licenses and bear renewal fees unless otherwise agreed in writing.
19. User Content
Users retain their rights in submitted Content and grant the Platform a non-exclusive license to host, process, display, and use it as necessary to provide the Service. Users warrant that their Content is lawful and does not infringe intellectual property, privacy, reputation, or other third-party rights.
20. Community Rules
Illegal, misleading, abusive, discriminatory, threatening, obscene, privacy-invasive, violent, spam, fraudulent, or prohibited product or service content is not allowed. The Platform may remove or restrict Content or suspend an account without prior notice where safety or legal requirements justify doing so.
21. Reporting Violations
Suspected violations may be reported through official contact channels with the relevant link, reasons, and proof of standing where infringement of a legal right is claimed. The Platform may request further information and take action it considers appropriate under applicable law.
22. News and Editorial Content
The Platform may publish news, summaries, or translations from external sources and identify the source where appropriate. Automation or AI may be used and errors or delays may occur. Content is for general information and is not legal, financial, investment, or medical advice. Users should consult original sources and qualified professionals before making decisions.
23. Artificial Intelligence
AI services may produce inaccurate, biased, or similar-to-existing outputs. Users are responsible for reviewing accuracy, legality, and suitability before publication or commercial use. AI services may not be used for impersonation, deception, or infringement.
24. Text-to-Speech and Video Generation
Users warrant that they have rights to all input text, voices, images, and materials. Cloning a person’s voice, image, or identity without consent or a lawful basis is prohibited. Pronunciation, translation, and synchronization quality may vary and outputs must be reviewed before publication.
25. WhatsApp and Automated Messaging
WhatsApp and messaging integrations are subject to the provider’s terms and policies. Users are responsible for recipient consent, marketing-message rules, and anti-spam compliance. ALYASI does not guarantee session continuity or that a provider will not restrict an account.
26. APIs and Bots
API keys and bots must be used within authorized limits. Sharing credentials, misuse, rate-limit circumvention, or bypassing security is prohibited. Limits or access may be changed or suspended to protect the Platform or comply with provider requirements.
27. External Services
The Platform may include external links or integrations. ALYASI is not responsible for their content, availability, practices, or resulting losses. Their use is governed by their own terms.
28. Availability
ALYASI seeks to provide a stable service but does not guarantee uninterrupted operation, error-free performance, or compatibility with every device. Services may be suspended for maintenance, security, updates, or events beyond reasonable control.
29. Backups and Data Loss
Unless a hosting or support contract states otherwise, Clients are responsible for keeping copies of their data and files. Recovery of all data after failures, user deletion, or service termination is not guaranteed.
30. Disclaimer of Warranties
To the extent permitted by law, the Platform, general Content, and Services are provided as available without express or implied warranties concerning fitness for a particular purpose, business results, search rankings, traffic levels, or third-party platform approval.
31. Limitation of Liability
To the extent permitted by law, ALYASI is not liable for indirect, consequential, profit, reputation, data, or opportunity losses. Any proven direct contractual liability will not exceed the amount paid for the Service giving rise to the claim, unless the law prohibits such a limitation or the loss results from fraud or gross misconduct that cannot lawfully be excluded.
32. Indemnity
Users are responsible for claims, losses, and costs resulting from their breach of these Terms, applicable law, third-party rights, or submitted materials, and must indemnify ALYASI to the extent permitted by law, without prejudice to their right to defend themselves and establish absence of liability.
33. Force Majeure
ALYASI is not responsible for delay or failure caused by events beyond reasonable control, including disasters, electricity or internet outages, large-scale cyberattacks, service-provider failures, government measures, conflict, or epidemics.
34. Suspension and Termination
Access may be suspended or terminated for breach, non-payment, security or legal risk, or an order from a competent authority. Amounts and obligations accrued before termination remain due.
35. Confidentiality
Each party must protect confidential information received from the other and use it only for the relationship, except where the information is public, previously known, or legally required to be disclosed. Sensitive projects may be governed by a separate non-disclosure agreement.
36. Complaints and Disputes
Users are encouraged to contact ALYASI first to seek an amicable resolution. This does not restrict statutory rights or the right to approach competent regulatory or judicial authorities.
37. Governing Law and Jurisdiction
These Terms are governed by and interpreted under the laws of the Sultanate of Oman. Competent Omani courts have jurisdiction unless applicable law requires otherwise or the parties agree to another legally permitted dispute-resolution method.
38. Severability
If any provision is invalid or unenforceable, the remaining provisions remain effective, and the affected provision will be replaced by a lawful provision that most closely achieves its intended purpose.
39. No Waiver
Failure or delay by ALYASI in exercising a right does not constitute a waiver. A waiver is effective only if made in writing by an authorized representative.
40. Amendments
These Terms may be amended when services or laws change. The new version will be published with an updated date. Continued use after effectiveness constitutes acceptance, and material changes may be notified where appropriate or legally required.
41. Language
These Terms may be available in Arabic and English. In case of interpretive inconsistency, the Arabic version prevails unless a specific contract or applicable law requires otherwise.
42. Contact
Questions, notices, and complaints may be submitted through official contact channels published on the Platform. Email or another approved electronic method is a valid means of service-related communication unless otherwise agreed.
